1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the SB5 Supply Solutions website at sb5supplysolutions.com and any related services, quote requests, and transactions. By accessing or using our website, you agree to be bound by these Terms. If you do not agree, do not use our website.

2. About SB5 Supply Solutions

SB5 Supply Solutions LLC ("SB5," "we," "our," or "us") is a custom component manufacturing partner serving OEM manufacturers across multiple industries. We are headquartered at 733 Tillman Place #106, Plant City, FL.

3. How We Work

SB5 is a custom component manufacturing partner, not a stock distributor. Our standard process is:

• You submit a quote request with specifications, drawings, or a physical sample.
• We provide a written quote with pricing, projected lead time, and terms.
• If you accept the quote, we manufacture free verification samples for your approval before production.
• You approve the sample in writing, at which point the production order is placed.
• Standard production lead times run 21–65 days depending on complexity. Expedited options are available on request.

All specific terms, pricing, lead times, minimum order quantities, and payment terms are set out in the individual quote and purchase order for each transaction.

4. Quotes and Orders

Quotes are valid for 30 days from the date issued unless stated otherwise. Prices are subject to change based on material costs, final specifications, order quantities, and tooling requirements. Orders are binding upon written acceptance of the quote and execution of a purchase order or written confirmation.

5. Sample Approval

For first-time parts, we provide verification samples at no cost. You are responsible for reviewing samples and providing written approval (or requested revisions) within a reasonable time. Production will not proceed until you approve the sample in writing. SB5 is not responsible for production delays caused by delayed sample approvals.

6. Lead Times

Standard production lead times are 21–65 days depending on complexity, quantity, materials, and tooling requirements. Specific lead times are stated in each quote and confirmed upon order. Lead times begin after sample approval and receipt of required deposits or purchase orders.

Expedited production and shipping may be available on request for additional cost. We will communicate any schedule changes as soon as they become known.

7. Payment Terms

Payment terms are set out in each individual quote and purchase order. We accept payment via purchase order, bank transfer, and credit card. Net terms (Net 30/60) may be available for qualified customers.

Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

8. Shipping and Delivery

Shipping terms, carriers, and responsibility for freight are set out in each quote. Unless otherwise specified, shipping is FOB origin, and risk of loss passes to the buyer upon handoff to the carrier. SB5 is not liable for delays caused by carriers, customs, weather, or other events beyond our control.

9. Warranties

We warrant that all components manufactured for you will substantially conform to the specifications you approved in the verification sample phase. If delivered parts fail to conform, notify us within 30 days of receipt and we will repair, replace, or credit the non-conforming items at our discretion.

THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SB5'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY TRANSACTION SHALL NOT EXCEED THE AMOUNT PAID BY THE BUYER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM. SB5 SHALL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Intellectual Property

You retain all rights, title, and interest in any drawings, CAD files, specifications, or samples you provide to us. You grant SB5 a limited license to use this material solely to produce the parts you have ordered. We will not share your proprietary designs with unauthorized third parties.

The SB5 website, including all text, graphics, logos, and software, is owned by SB5 Supply Solutions LLC and protected by copyright and trademark laws. You may not copy, modify, or distribute our content without permission.

12. Account Registration

Some features of our website require account registration. You agree to provide accurate information, keep your password secure, and notify us immediately of any unauthorized access. You are responsible for all activity under your account.

13. Prohibited Uses

You agree not to use our website to:

• Violate any law or regulation
• Submit false or misleading information in quote requests
• Attempt to gain unauthorized access to our systems or accounts
• Interfere with the operation of the website
• Send spam, malware, or otherwise harmful communications
• Use automated systems to scrape or collect data from our site

14. Indemnification

You agree to indemnify and hold SB5 harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the website, or your violation of any third-party rights.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Hillsborough County, Florida.

16. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date. Continued use of the website after changes constitutes acceptance of the revised Terms.
